ARTICLES OF AFFICILATION
OF THE
JACKSONVILLE PUBLIC LIBRARY – ANIME CLUB
ARTICLE I – NAME - TBD
The name of the organization is TBD
ARTICLE II - MISSION
Section 1. Objective.

This committee is not organized for the private gain of any person or group.
ARTICLE III – POLICIES
Section 1. The Committee.
The Committee shall be a non-commercial, non-sectarian, non-racial and non-partisan.
Section 2. Basic Policies.
The name of the Committee or the names of any members in their official capacities shall not be used in any connection with a commercial concern or with any partisan interest or for any purpose not appropriately related to promotion of the objectives of this organization.
Section 3. Checks.
All checks shall be signed by two of the following designated officers: President, Treasure or Secretary.
Section 4. Members.
The organization shall have members. Membership is open to all members of the
Jacksonville Public Library Anime Club.
ARTICLE IV – MEMBERSHIP AND DUES
Section 1. Members.
Membership in this organization shall be made available to any individual of the Jacksonville Public Library Anime Club, and who subscribes to the Mission and basic policies of the Jacksonville Public Library Anime Club. Being a member of the Jacksonville Public Library Anime Club doesn’t entitle the member to a seat on the Board of Directors. All rights which would otherwise vest in the members shall vest in the Board of Directors.
Section 2. Enrollment.
This organization shall conduct ongoing enrollment of members, but may admit persons to membership at anytime.
Section 3. Dues.
The Board of Directors may establish dues and fees that each member of Jacksonville Public Library Anime Club shall pay, as such amounts to be prescribed and at such times as shall be determined by the Board of Directors.
ARTICLE V – BOARD OF DIRECTORS
Section 1. The Board of Directors.
Jacksonville Public Library Anime Club Board of Directors shall consist of not less than five (5) or more than fifteen (15) Directors. The Board of Director seats are non-elected term offices. Open to all ages. You can serve until you are 18 years of age or 2 years, whichever comes first.
Section 2. The Executive Board of Directors.
The President, Vice President, Secretary and Treasure are the Executive Board of Directors. The term in office for the Executive Board Members will be every (1) year. Officers shall serve for a term in office or until their successor have been elected. No officer shall be eligible to the same office for more that two (2) consecutive terms. Officers shall assume their duties the day after each election. Vacancies in office shall be filled by a Jacksonville Public Library Anime Club (Board of Director(s)) at the next General Board Meeting. You must be at least 16 years of age but no more than 18 upon your first day of holding elected office.
Section 3. Voting.
All Jacksonville Public Library Anime Club member shall vote for and elect the officers to the Executive Board of Directors. Membership to the Jacksonville Public Library Anime Club is open to all person(s) wishing to participate in the monthly functions.
Section 4. Elections.
The elections for Executive Board of Directors should take place TBD. Nominations for the Executive Board shall be made by voice vote from the floor. The consent of each candidate must be obtained before his/her name is placed in nomination. Nominees need not be present in order to be elected to the Executive Board of Directors. If there is but one candidate for an office, the ballot may be dispensed with and the election held by a voice vote.
Section 5. Removal.
Any member of the Jacksonville Public Library Anime Club Executive Board or Jacksonville Public Library Anime Club Board of Directors who dose not comply with the policies of the Jacksonville Public Library Anime Club or fails to perform his/her duties, may be removed from office by the President, with the consent of two-thirds (2/3) of the Jacksonville Public Library Anime Club present at an Advisory Board Meeting.
Section 6. Resignation.
Any Director may resign effective upon giving written notice to the President, Secretary or Board.
Section 7. Place of Meetings.
Meetings of the Board of Directors shall be held at any place within the Jacksonville FL area which has been designated in the Notice of Meeting.
Section 8. Quorum.
A majority of authorized number of Directors constitutes a quorum of the Board of Directors.
Section 9. Meetings.
Regular meetings of the Advisory Board of the Jacksonville Public Library Anime Club shall be held monthly unless otherwise ordered by the Executive Board of Directors.
Section 10. Compensation.
The Directors shall receive no compensation for their services as such.
ARTICLE VI – OFFICERS
Section 1. Officers.
The Executive Board shall consist of President, Vice President, Secretary and Treasure.
Section 2. President.
The President shall preside at all meetings of the Jacksonville Public Library Anime Club, and shall have such powers and duties as may be prescribed from time to time by the Board of Directors. WHAT ARE THE POWERS AND DUTIES - TBD
Section 3. Vice President.
The vice President shall have such other powers and perform such other duties as may be prescribed from time to time by the Board of Directors. WHAT ARE THE POWERS AND DUTIES - TBD
Section 4. Secretary.
The Secretary shall keep a full and complete record of the proceedings of the Board of Directors, and shall discharge such other duties as pertain to the office or as prescribed by the Board of Directors.
Section 5. Treasure.
The Treasurer is the Chief Financial Officer of the organization and shall keep and maintain, or cause to kept and maintain, adequate and correct accounts of the properties and business transactions of the organization, and whenever they request it, supply the President and Board of Directors, an account of all transactions and of financial conditions of the organization, and shall have such other powers and perform such other duties as may be prescribed by the Board of Directors.
ARTICLE VII – AMENDMENTS OF BYLAWS
Section 1. Amendments.
These Bylaws may be amended or added to by a two-thirds (2/3) vote at any general meeting of the Board of Directors.
ARTICLE VIII – FISCAL YEAR
Section 1. Fiscal Year.
The fiscal year of this Reunion Committee shall begin TBD.
Suggested timeline for nominations and elections:
February Advisory Board:
Is this something that as a group wants to be done?
If so, work out the TBD items
February General Anime Meeting:
Announce the plan and take nominations at the beginning of this meeting.
Also take volunteers for the Board of Directors. At least 5 but no more than 15.
March General Anime Meeting:
Elections will be held, votes counted, announce the Executive Board of Directors and the Board of Directors at the end of the meeting.
April Advisory Board Meeting:
All newly elected members much attend the meeting.
